1. Agreement and security principles
By creating an account, generating or using an API key, installing FunkyRouter software, purchasing credit, clicking to accept, or using any FunkyRouter service, you agree to these Terms. If you do not agree, do not use the service. A signed order, provider agreement, or other written agreement controls to the extent it expressly conflicts with these Terms.
FunkyRouter is designed around least privilege and zero trust. Human users, organization API keys, website services, and provider nodes have separate identities and narrowly scoped permissions. We do not grant trust merely because an actor is on a particular network, in Texas, company-controlled, or customer-owned. Those principles guide our service obligations but do not create a warranty that every attack or failure will be prevented.
2. Eligibility and authority
You must be at least 18 years old, legally able to enter a contract, and permitted to use the service under applicable trade, sanctions, export-control, and other laws. If you use FunkyRouter for an organization, you represent that you have authority to bind it, and “you” includes that organization and its authorized users.
You are responsible for your authorized users and for ensuring that your use, instructions, inputs, and downstream applications comply with these Terms, applicable law, and any model-specific license or use restriction disclosed with the model.
3. The private-beta service
FunkyRouter provides a Texas-first, OpenAI-compatible interface for selected open-weight AI models, an account and organization portal, usage and billing records, node enrollment, downloads, documentation, and related beta features. OpenAI compatibility describes an interface; FunkyRouter is not affiliated with or endorsed by OpenAI.
The service is a limited private beta. Features, models, parameters, prices, credits, regions, limits, and capacity may change. Unless a signed order says otherwise, we provide no service-level agreement, uptime commitment, support-response commitment, service credit, or guaranteed capacity. The service may be unavailable while a beta node is offline, asleep, overloaded, updating, quarantined, or under review.
Catalog publication or a successful health endpoint does not promise that a model is serving or suitable for your workload. The authoritative account catalog and response headers describe the current request contract. Unsupported fields and routes may fail closed.
4. Accounts, organizations, and credentials
You must provide accurate account and organization information, keep it current, and protect sessions, API keys, node tokens, and recovery methods. Notify us promptly through your verified beta contact if you suspect compromise. You are responsible for activity under your credentials unless caused by our breach of these Terms or applicable law.
Organization administrators may invite or remove members, assign roles, view organization usage and billing, manage nodes, and issue or revoke credentials within their permissions. FunkyRouter currently separates two organization-key classes:
- An inference key has only
inference:invokeand cannot administer keys. - A management key has only
api_keys:manage, cannot invoke a model, and cannot create another management key.
The full value of a newly created organization key is displayed once. You must store it securely, rotate it when personnel or risk changes, and revoke it when no longer needed. Do not share credentials between organizations or copy node credentials between machines.
5. Inputs, outputs, and models
As between you and FunkyRouter, you retain your rights in prompts, messages, files, tool results, and other material you submit (collectively, “Inputs”). To the extent permitted by law and the applicable model license, you own the model-generated responses returned to you (“Outputs”). We do not claim ownership of Inputs or Outputs.
You grant us a limited, non-exclusive right to process Inputs and Outputs only to provide, secure, troubleshoot, and comply with law in connection with the service. We do not use Customer Content to train our own or a third party's foundation models. You are responsible for having the rights needed to submit Inputs and for evaluating Outputs before relying on or distributing them.
AI responses can be inaccurate, incomplete, offensive, or similar to responses generated for other users. Do not treat an Output as the sole basis for a legal, medical, financial, employment, housing, insurance, credit, public-benefit, or other high-impact decision. Model weights and supporting software remain subject to their own licenses.
6. Privacy, data processing, and confidentiality boundaries
Our Privacy Notice explains how we handle personal data. When FunkyRouter processes personal data in Customer Content on behalf of a business or organization, the Data Processing Agreement is incorporated into these Terms. The DPA does not apply to data we process as an independent controller for account administration, billing, fraud prevention, security, or our own legal obligations.
“Zero data retention” is not a blanket promise. Our checked-in inference configuration disables prompt and completion logging, raw request or response storage, provider-side object retention, and the persistent log store. The service still processes content in memory to answer a request, and the current private-beta ingress uses Cloudflare in transit. Operational metadata—such as organization, project, model, token count, timing, request identifier, status, and cost—may be kept without storing prompt or completion bodies. The standard service is not offered as a HIPAA-compliant service, a payment-card vault, a government classified system, or a repository for regulated records requiring a signed specialized agreement. Do not submit protected health information, cardholder data, government secrets, authentication secrets, or similarly restricted data unless we have expressly authorized that category in a signed agreement.
7. Fees, taxes, and prepaid credits
Prices, metering units, and any promotional credit are shown at checkout, in the authenticated account, or in a signed order. Stripe processes payment details; FunkyRouter does not receive or store full payment-card numbers. You authorize applicable charges and are responsible for taxes other than taxes on our net income.
Unless a signed order or applicable law says otherwise, credits are prepaid service balances, not deposits, bank accounts, stored-value instruments, or transferable property. Credits have no cash value, cannot be resold or transferred between organizations, and are non-refundable once used. We will disclose any expiration or refund rule before purchase; if none is disclosed, a purchased balance does not expire while the account remains active. Promotional credits may expire under the terms supplied with them.
You must raise a good-faith billing dispute through your verified account or order contact within 30 days after the charge or statement at issue. This notice period does not waive rights that applicable law does not permit you to waive.
8. Acceptable use
You must follow our Acceptable Use Policy, applicable model licenses, and law. In particular, you may not use the service to violate rights, facilitate malware or account compromise, evade safety or rate controls, conduct unlawful surveillance, exploit children, produce non-consensual intimate material, or make an unlawful high-impact decision.
You may test systems you own or are authorized to test, including with security-sensitive prompts, but you may not use that allowance to attack FunkyRouter, a provider node, another customer, or a third party. We may investigate apparent abuse using the minimum data reasonably necessary and may limit or block a request when needed to protect the service or comply with law.
9. Provider nodes and provider software
If we authorize you to operate a provider node, you may use the node agent, enrollment material, and related tools only for the approved organization, machine, pool, and purpose. You must keep the machine physically and logically secure, apply updates, avoid copying node credentials, and promptly report loss, compromise, ownership change, or unexpected workloads.
Node enrollment creates a distinct machine identity. We may attest, quarantine, drain, update, restrict, or revoke a node at any time for security, capacity, compliance, or beta operations. Joining a shared Texas pool does not guarantee requests, compensation, exclusivity, utilization, or continued participation. Compensation, if any, requires a separate written provider agreement.
A node may receive Customer Content in plaintext when needed to perform inference. Network encryption protects transit but is not end-to-end encryption from customer to model memory. Only company-controlled or separately approved machines may participate in the initial private beta.
10. Third-party services and open-source components
The standard managed path uses Cloudflare for edge and network services, WorkOS for identity, and Stripe for payments. Their services are governed by their own terms and privacy notices where they act for you directly. The current register is at /legal/subprocessors.
If you independently route requests through OpenRouter or another aggregator, that routing is outside the standard FunkyRouter path and subject to your agreement with that provider. OpenAI-compatible means protocol compatibility only; OpenAI is not a FunkyRouter subprocessor merely because you use an OpenAI client library.
The service includes open-source and source-available software and model weights. Those components remain governed by their applicable notices and licenses, which may grant rights directly to you. These Terms do not restrict rights an open-source license gives you.
11. Intellectual property, feedback, and confidentiality
Except for your Inputs, Outputs, and rights granted by component licenses, YEETUM LLC and its licensors own the service, software, documentation, branding, and related intellectual property. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the private-beta service for your internal business or development purposes.
If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your Confidential Information. Neither party may use or disclose the other party's non-public information except to perform the agreement, exercise legal rights, or comply with law. These duties do not cover information that was already known without restriction, becomes public without breach, is independently developed, or is lawfully received from another source.
12. Suspension and termination
You may stop using the service at any time and may request account closure through your verified account or beta contact. We may suspend or restrict access immediately when reasonably necessary to address a security risk, suspected unlawful use, nonpayment, material breach, provider or model restriction, or threat to another customer or the service. When practical and lawful, we will give notice and a chance to cure before termination.
Either party may terminate a private-beta account for convenience on written notice unless a signed order states otherwise. On termination, your right to use the service ends. Accrued payment obligations and provisions that by their nature should survive—including ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms—will survive. Data return and deletion are governed by the DPA, Privacy Notice, signed order, and applicable law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRIVATE-BETA SERVICE, MODELS, OUTPUTS, SOFTWARE, AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the service will be uninterrupted, secure, or error-free; that an Output will be accurate, unique, or fit for a decision; or that defects will be corrected. These disclaimers do not limit warranties or remedies that applicable law does not allow us to disclaim.
14. Liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED THAT THEY ARE POSSIBLE. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OR OWE FUNKYROUTER FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.
The exclusions and cap do not apply to your payment obligations, either party's fraud or willful misconduct, your violation of another person's intellectual-property or privacy rights, your indemnity obligations, or liability that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions, so these limits apply only to the extent permitted.
If you use the service for a business or organization, you will defend and indemnify YEETUM LLC and its personnel against a third-party claim arising from your unlawful Inputs, your application or offering, your breach of the Acceptable Use Policy, or your violation of a third party's rights. We will promptly notify you, give you reasonable control of the defense, and cooperate at your expense. You may not settle a claim in a way that admits our fault or imposes a non-monetary obligation on us without our consent.
15. Governing law, disputes, changes, and notices
Texas law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice describing the dispute and allow 30 days for an informal, good-faith resolution. If it is not resolved, the state and federal courts located in Tarrant County, Texas have exclusive jurisdiction, and each party consents to venue there. Either party may seek urgent injunctive relief for misuse of credentials, security threats, or intellectual-property or confidentiality violations.
We may update these Terms as the beta develops. We will post the new version and effective date and, for a material adverse change, provide reasonable advance notice through the website, authenticated service, or your verified account or order contact. Continued use after the effective date means you accept the updated Terms; if you do not agree, you must stop using the service.
Notices to you may be sent through the authenticated service, your verified account or order contact, or another method in a signed order. During the initial private beta, legal notices to YEETUM LLC must use the verified invitation, order, or authenticated support channel that we supplied to you. Public legal and privacy mailboxes are a launch gate and will be published only after delivery has been tested.
You may not assign these Terms without our consent, except with a merger or sale of substantially all relevant assets; we may assign them in connection with the same kind of transaction. Neither party is liable for delay caused by events beyond reasonable control. If a term is unenforceable, it will be narrowed to the minimum extent necessary, and the remaining terms continue. A waiver must be written. These Terms, the incorporated policies, any signed DPA, and any signed order are the entire agreement about the service.
